1. Definitions and Interpretation

In these Terms and Conditions ("Terms"), unless the context otherwise requires, the following definitions shall apply:

  • "Vertali Group" refers to Vertali Group, a business entity organized under the laws of the State of Florida, United States, with its principal place of business at 111 N Orange Ave, Orlando, FL 32801, United States.
  • "Service" means the Vertali Group Festive Leave Application portal, including all features, functionality, content, and services accessible through the domain vertali.net or any subdomain thereof.
  • "User" or "You" refers to any individual who accesses, uses, or attempts to use the Service, including but not limited to authorized streamers, administrative personnel, and any other person granted access to the Service.
  • "Access Code" means the unique alphanumeric identifier provided by Vertali Group to authorized users for the purpose of accessing the Service.
  • "Application" or "Leave Application" means any request, submission, or form submitted through the Service for the purpose of requesting festive leave or time off from work.
  • "Personal Data" has the meaning ascribed to it under applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR) and applicable United States privacy legislation.
  • "Force Majeure" means any event beyond the reasonable control of Vertali Group, including but not limited to acts of God, war, terrorism, labor disputes, government actions, natural disasters, or failures of third-party systems or services.

The headings in these Terms are for convenience only and shall not affect the interpretation hereof. Words importing the singular shall include the plural and vice versa. References to "including" or "includes" shall be construed as "including without limitation" or "includes without limitation."

2. Acceptance of Terms and Conditions

By accessing, browsing, or using the Vertali Group Festive Leave Application ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately discontinue access to and use of the Service.

These Terms constitute a legally binding agreement ("Agreement") between you and Vertali Group. By clicking "Accept," submitting an application, or otherwise using the Service, you expressly consent to be bound by these Terms. Your continued use of the Service following any modifications to these Terms shall constitute your acceptance of such modifications.

If you are accessing or using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case "you" or "your" shall refer to such entity. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Service.

3. Eligibility and Authorization

The Service is available exclusively to the following categories of individuals:

  • Authorized streamers who are parties to a valid and current agreement with Vertali Group ("Authorized Streamers");
  • Individuals who have been provided with a valid, non-expired access code by an authorized representative of Vertali Group;
  • Authorized administrative personnel, officers, directors, employees, and agents of Vertali Group who have been granted access privileges ("Authorized Personnel");
  • Any other individual or entity expressly authorized in writing by Vertali Group to access and use the Service.

By accessing or using the Service, you represent, warrant, and covenant that:

  • You meet all eligibility requirements set forth herein;
  • You have the legal capacity and authority to enter into this Agreement;
  • You are not prohibited by law, regulation, contract, or other legal obligation from accessing or using the Service;
  • All information provided by you to Vertali Group, whether in connection with your registration, access code application, or leave application, is true, accurate, current, and complete;
  • You will maintain the accuracy and completeness of all information provided by you and promptly update such information as necessary;
  • Your use of the Service will comply with all applicable laws, rules, and regulations;
  • You will not impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with any person or entity.

Vertali Group reserves the right, in its sole and absolute discretion, to verify your eligibility at any time and to deny, suspend, or terminate your access to the Service if you fail to meet any eligibility requirement or if Vertali Group reasonably suspects that you have provided false or misleading information.

4. Prohibition of False Information, Fraud, and Misrepresentation

CRITICAL PROHIBITION: You are strictly and absolutely prohibited from providing any false, misleading, incomplete, inaccurate, fraudulent, or deceptive information in connection with your use of the Service, including but not limited to information provided in connection with:

  • Leave Applications: Any information contained in or relating to a leave application, including but not limited to dates of requested leave, reasons for leave, duration of leave, purpose of leave, destination (if applicable), or any other material fact;
  • Identity Information: Your name, email address, streamer ID, channel name, employment status, relationship with Vertali Group, or any other identifying information;
  • Supporting Documentation: Any documents, certificates, receipts, invoices, tickets, or other evidence submitted or referenced in support of a leave application;
  • Access Code Applications: Any information provided in connection with obtaining or maintaining an access code;
  • Verification Requests: Any information provided in response to verification requests, audits, or inquiries from Vertali Group or its authorized representatives.

Specific Prohibited Conduct: Without limiting the generality of the foregoing, you are expressly prohibited from:

  • Submitting leave applications for dates on which you do not intend to take leave or for purposes other than those stated in your application;
  • Submitting multiple applications for the same or overlapping leave periods with conflicting or inconsistent information;
  • Fabricating, altering, or forging any documents, records, or evidence in support of a leave application;
  • Using another person's identity, access code, or credentials to submit applications or access the Service;
  • Misrepresenting your relationship with Vertali Group, your employment status, or your eligibility for leave;
  • Providing false or misleading information about the reasons for your leave request, including but not limited to family emergencies, medical conditions, travel plans, or other circumstances;
  • Concealing, omitting, or failing to disclose material facts that would affect Vertali Group's decision to approve or deny your leave application;
  • Coordinating with other users to submit fraudulent applications or otherwise abuse the Service;
  • Using the Service to perpetrate any form of fraud, deception, or unlawful activity.

Consequences of Violation: Any violation of this Section 4 shall constitute a material breach of these Terms and shall result in the following consequences, which may be imposed individually or in combination, at Vertali Group's sole discretion:

  • Immediate Application Rejection: Any pending or approved leave application may be immediately rejected, revoked, or cancelled, and you may be required to return to work immediately;
  • Immediate Access Termination: Your access to the Service, including your access code, may be immediately and permanently terminated without notice or opportunity to cure;
  • Disciplinary Action: Vertali Group may take disciplinary action against you, up to and including immediate termination of your relationship with Vertali Group, whether such relationship is contractual, employment-based, or otherwise;
  • Legal Action: Vertali Group reserves the right to pursue all available legal remedies, including but not limited to causes of action for fraud, misrepresentation, breach of contract, breach of fiduciary duty, unjust enrichment, and any other claims available under applicable law;
  • Criminal Reporting: Vertali Group may report suspected criminal activity, including but not limited to fraud, identity theft, or other violations of criminal law, to appropriate law enforcement authorities, regulatory agencies, and prosecutorial offices;
  • Financial Liability: You shall be liable for all damages, losses, costs, and expenses incurred by Vertali Group as a result of your false information, including but not limited to lost productivity, operational disruptions, investigation costs, legal fees, and any other direct, indirect, or consequential damages;
  • Reputational Harm: Vertali Group may take appropriate action to protect its reputation and business interests, including but not limited to public disclosure of your violation, where permitted by law;
  • Ineligibility: You may be permanently barred from future access to the Service and from any future relationship with Vertali Group.

Verification and Audit Rights: You acknowledge and agree that:

  • Vertali Group reserves the absolute right, but not the obligation, to verify, investigate, and audit all information provided by you in connection with the Service, at any time and for any reason, without prior notice;
  • You expressly consent to background checks, reference verification, employment verification, document authentication, and any other verification methods that Vertali Group, in its sole discretion, deems necessary or appropriate;
  • All applications, documents, and information submitted through the Service are subject to ongoing review, audit, and verification, even after approval or processing;
  • You must cooperate fully and promptly with any verification or audit process, including but not limited to providing additional documentation, answering questions, and participating in interviews or investigations;
  • Failure to cooperate with verification or audit requests may result in immediate rejection of your application and termination of your access to the Service;
  • Vertali Group may use third-party verification services, investigators, or other agents to conduct verifications and audits, and you consent to such use;
  • You authorize Vertali Group to contact any third parties, including but not limited to employers, educational institutions, healthcare providers, travel agencies, or government agencies, for the purpose of verifying information provided by you;
  • Vertali Group may share information with law enforcement, regulatory agencies, or other third parties as necessary or appropriate in connection with verification, audit, or investigation activities.

No Waiver: Vertali Group's failure to exercise or enforce any right or remedy under this Section 4 shall not constitute a waiver of such right or remedy, and Vertali Group may exercise such rights and remedies at any time. Vertali Group's acceptance, processing, or approval of any application shall not constitute a waiver of its right to subsequently verify, audit, or reject such application based on false or fraudulent information.

5. Access Codes and Account Security

Access to the Service requires a valid access code provided by Vertali Group. Access codes are confidential, non-transferable, and may be revoked at any time by Vertali Group in its sole discretion. You are solely responsible for:

  • Maintaining the confidentiality and security of your access code;
  • All activities that occur under your access code, whether authorized by you or not;
  • Immediately notifying Vertali Group of any unauthorized use of your access code or any other breach of security;
  • Ensuring that you log out of the Service when accessing it from a shared or public computer;
  • Using strong, unique access codes if such capability is provided by the Service;
  • Not sharing, disclosing, or transferring your access code to any third party, including other authorized users.

You acknowledge that Vertali Group is not responsible for any loss or damage arising from your failure to comply with the foregoing security obligations. You agree to indemnify and hold harmless Vertali Group from any claims, losses, or damages arising from unauthorized use of your access code, except to the extent such unauthorized use results directly from Vertali Group's gross negligence or willful misconduct.

Vertali Group reserves the right to suspend or terminate access codes at any time, with or without cause, with or without notice, and you acknowledge that Vertali Group shall not be liable to you or any third party for any termination of your access to the Service.

6. Use of Service and Acceptable Use Policy

Subject to your compliance with these Terms, Vertali Group grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for the purpose of submitting and managing leave applications in accordance with these Terms. You agree to use the Service only for lawful purposes and in accordance with these Terms and all applicable laws, rules, and regulations.

Prohibited Uses: You agree not to use the Service, or permit any third party to use the Service, in any manner that:

  • Violates any applicable federal, state, local, or international law, regulation, or ordinance;
  • Infringes upon or violates the intellectual property rights, privacy rights, or other rights of Vertali Group or any third party;
  • Is fraudulent, deceptive, misleading, or constitutes false advertising;
  • Transmits, uploads, or introduces any viruses, malware, Trojan horses, worms, or other harmful code;
  • Attempts to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service;
  • Interferes with, disrupts, or overloads the Service or servers or networks connected to the Service;
  • Attempts to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service;
  • Uses any automated system, including but not limited to bots, scrapers, or scripts, to access or use the Service without Vertali Group's prior written consent;
  • Collects or harvests any information from the Service, including but not limited to user data or access codes;
  • Impersonates any person or entity, including but not limited to Vertali Group personnel or other authorized users;
  • Frames or mirrors any portion of the Service without Vertali Group's prior written authorization;
  • Uses the Service for any commercial purpose or in any manner that competes with Vertali Group's business;
  • Removes, alters, or obscures any copyright, trademark, or other proprietary notices contained in the Service;
  • Uses the Service in any manner that could damage, disable, overburden, or impair Vertali Group's servers or networks.

Vertali Group reserves the right to investigate violations of this Section 6 and may involve law enforcement authorities in prosecuting users who violate applicable laws. Violations of this Section may result in immediate termination of your access to the Service and may subject you to civil and criminal liability.

7. Leave Applications: Terms, Conditions, and Approval Process

All leave applications submitted through the Service are subject to the following terms and conditions:

  • No Guarantee of Approval: Submission of a leave application does not guarantee approval. All applications are subject to review and approval by Vertali Group management in its sole and absolute discretion. Vertali Group reserves the right to approve or deny any application for any reason or no reason, with or without notice.
  • Operational Requirements: Approval of leave applications is subject to operational requirements, business needs, staffing considerations, and other factors determined by Vertali Group in its sole discretion. Vertali Group may deny, modify, or revoke approval of any application based on operational requirements, even if the application would otherwise be approved.
  • Advance Notice Requirements: You must submit leave applications in advance in accordance with Vertali Group's leave policies, which may be established, modified, or amended by Vertali Group from time to time. Applications submitted without sufficient advance notice may be denied, even if they would otherwise be approved.
  • Accuracy and Completeness: You are responsible for ensuring that all information contained in your application is accurate, complete, and truthful. Applications containing inaccurate, incomplete, or false information may be rejected, and you may be subject to disciplinary action as set forth in Section 4.
  • Material Changes: You must promptly notify Vertali Group of any material changes to the information contained in your application, including but not limited to changes to requested dates, reasons for leave, or other circumstances. Failure to notify Vertali Group of material changes may result in rejection or revocation of your application.
  • Revocation Rights: Vertali Group reserves the right to revoke approval of any leave application at any time, including after approval has been granted, if Vertali Group determines, in its sole discretion, that (a) the application contained false or misleading information, (b) circumstances have changed such that the leave is no longer appropriate, (c) operational requirements necessitate such revocation, or (d) for any other reason deemed appropriate by Vertali Group.
  • No Retroactive Approval: Vertali Group will not approve leave applications for dates that have already passed, except in exceptional circumstances as determined by Vertali Group in its sole discretion.
  • Concurrent Applications: You may not submit multiple applications for overlapping leave periods without prior written authorization from Vertali Group. Duplicate or conflicting applications may be rejected or cancelled.
  • Modification of Applications: Once submitted, applications may not be modified without Vertali Group's prior written consent. You may be required to submit a new application if you wish to change information contained in a previously submitted application.
  • Withdrawal of Applications: You may withdraw a pending application at any time prior to approval, subject to Vertali Group's policies and procedures. Once an application is approved, withdrawal may be subject to Vertali Group's approval and operational requirements.

Application Review Process: Vertali Group will review applications using procedures and criteria established by Vertali Group in its sole discretion. Review may include, but is not limited to:

  • Verification of information provided in the application;
  • Assessment of operational requirements and staffing needs;
  • Review of your leave history and previous applications;
  • Consideration of business continuity and service delivery requirements;
  • Evaluation of the reason for leave and its appropriateness;
  • Any other factors deemed relevant by Vertali Group.

Vertali Group does not guarantee that applications will be reviewed within any specific timeframe, and you acknowledge that review times may vary based on volume, complexity, and other factors. Vertali Group will use reasonable efforts to process applications in a timely manner, but you agree that Vertali Group shall not be liable for any delays in processing or reviewing applications.

8. Intellectual Property Rights

The Service, including but not limited to its design, functionality, user interface, content, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and all other materials contained therein, is the exclusive property of Vertali Group and its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

All trademarks, service marks, trade names, logos, and other indicia of source displayed on or in connection with the Service are the property of Vertali Group or their respective owners. You may not use, reproduce, distribute, modify, or create derivative works of any such intellectual property without the express written permission of Vertali Group or the respective owner.

You acknowledge that you do not acquire any ownership rights in the Service or any intellectual property contained therein by virtue of your use of the Service. All rights not expressly granted to you in these Terms are reserved by Vertali Group and its licensors.

If you believe that any content on the Service infringes your intellectual property rights, you may submit a notice of infringement to Vertali Group in accordance with the Digital Millennium Copyright Act (DMCA) or other applicable laws. Vertali Group will investigate and respond to valid notices of infringement in accordance with applicable law.

9. Privacy and Data Protection

Your use of the Service is also governed by Vertali Group's Privacy Policy and Data Protection Policy, which are incorporated into these Terms by reference. By using the Service, you consent to the collection, use, disclosure, and processing of your personal information as described in the Privacy Policy and Data Protection Policy.

You acknowledge that Vertali Group may collect, use, store, and process personal information about you in connection with your use of the Service, including but not limited to information provided in leave applications, access logs, IP addresses, device information, and usage data. Such information may be used for purposes including but not limited to processing applications, verifying information, preventing fraud, ensuring security, complying with legal obligations, and improving the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, QUIET ENJOYMENT, ACCURACY, RELIABILITY, OR COMPLETENESS.

Vertali Group does not warrant, guarantee, or make any representations that:

  • The Service will be available, uninterrupted, secure, or error-free at all times;
  • Defects, errors, or malfunctions in the Service will be corrected;
  • The Service will meet your requirements or expectations;
  • The Service is free of viruses, malware, or other harmful components;
  • Any information, content, or data obtained through the Service is accurate, reliable, or complete;
  • The results that may be obtained from the use of the Service will be effective, accurate, or reliable;
  • The Service will be compatible with your hardware, software, or network configuration.

Some jurisdictions do not allow the exclusion of implied warranties or limitations on how long an implied warranty may last, so the above limitations may not apply to you. In such jurisdictions, the foregoing disclaimers shall apply to the fullest extent permitted by applicable law.

You acknowledge that the Internet and electronic communications involve inherent risks, including but not limited to the risk of unauthorized access, interception, loss, or corruption of data. You agree that Vertali Group shall not be responsible or liable for any such risks or any consequences thereof.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERTALI GROUP, ITS AFFILIATES, SUBSIDIARIES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF VERTALI GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERTALI GROUP'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICE SHALL NOT EXCEED THE AMOUNT OF ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU PAID TO VERTALI GROUP IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, WHICHEVER IS GREATER.

The foregoing limitations of liability shall apply notwithstanding any failure of essential purpose of any limited remedy and to the fullest extent permitted by applicable law. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. In such jurisdictions, Vertali Group's liability shall be limited to the fullest extent permitted by applicable law.

You acknowledge that the limitations of liability set forth in this Section 11 are an essential element of the agreement between you and Vertali Group and that in the absence of such limitations, the economic terms of this Agreement would be substantially different.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vertali Group, its affiliates, subsidiaries, directors, officers, employees, agents, licensors, and service providers from and against any and all claims, demands, actions, causes of action, suits, proceedings, losses, liabilities, damages, costs, and expenses (including but not limited to reasonable attorneys' fees, expert witness fees, and court costs) arising out of or relating to:

  • Your use of or inability to use the Service;
  • Your violation of these Terms or any applicable law, rule, or regulation;
  • Your violation of any rights of any third party, including but not limited to intellectual property rights, privacy rights, or other rights;
  • Your provision of false, misleading, incomplete, or fraudulent information in connection with the Service;
  • Any content or information you submit, post, transmit, or otherwise make available through the Service;
  • Your negligence, willful misconduct, or gross negligence;
  • Any dispute between you and any third party arising from or relating to your use of the Service.

Vertali Group reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with Vertali Group in asserting any available defenses. You agree not to settle any matter subject to indemnification by you without Vertali Group's prior written consent.

13. Termination and Suspension

Vertali Group may, in its sole and absolute discretion, terminate, suspend, or restrict your access to the Service, with or without cause, with or without notice, at any time, for any reason or no reason, including but not limited to:

  • Your violation of these Terms or any applicable law, rule, or regulation;
  • Your provision of false, misleading, incomplete, or fraudulent information;
  • Your failure to comply with any applicable policies or procedures of Vertali Group;
  • Your engagement in any activity that Vertali Group, in its sole discretion, deems harmful to Vertali Group, other users, or third parties;
  • Your breach of any agreement with Vertali Group;
  • Termination or expiration of your relationship with Vertali Group;
  • Any other reason deemed appropriate by Vertali Group in its sole discretion.

Upon termination or suspension of your access to the Service:

  • Your right to access and use the Service will immediately cease;
  • Your access code will be immediately deactivated;
  • All pending applications may be cancelled or rejected;
  • Vertali Group may delete or retain your information in accordance with its Privacy Policy and Data Protection Policy;
  • All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 4, 8, 10, 11, 12, 15, and 16.

You may terminate your use of the Service at any time by ceasing to access the Service and notifying Vertali Group of your intent to terminate. However, termination of your use of the Service does not relieve you of any obligations or liabilities that accrued prior to termination, including but not limited to obligations under Section 4 (Prohibition of False Information) and Section 12 (Indemnification).

14. Force Majeure

Vertali Group shall not be liable for any failure or delay in performance under these Terms to the extent that such failure or delay is due to circumstances beyond Vertali Group's reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, strikes, government actions, natural disasters, fires, floods, earthquakes, epidemics, pandemics, power outages, internet failures, computer viruses, hackers, or failures of third-party systems or services. In the event of a force majeure event, Vertali Group will use reasonable efforts to notify you and to resume performance as soon as practicable.

15. Governing Law and Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law principles or provisions. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act shall not apply to these Terms.

Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the relationship between you and Vertali Group, whether in contract, tort, or otherwise, shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, Florida, United States. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue in such courts, including but not limited to objections based on forum non conveniens or lack of personal jurisdiction.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, such provision shall be severed from these Terms, and the remainder of these Terms shall remain in full force and effect.

16. Miscellaneous Provisions

Entire Agreement: These Terms, together with the Privacy Policy and Data Protection Policy, constitute the entire agreement between you and Vertali Group regarding your use of the Service and supersede all prior or contemporaneous agreements, understandings, negotiations, representations, or communications, whether oral or written, relating to the subject matter hereof.

Modification: Vertali Group reserves the right, in its sole discretion, to modify, amend, or update these Terms at any time. Material modifications will be effective upon posting on the Service or upon notification to you via email or other means. Your continued use of the Service following any modification constitutes your acceptance of the modified Terms. If you do not agree to any modification, you must immediately cease using the Service.
